Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Tutorelli platform ("Service"), operated by Saber Amini ("Tutorelli," "we," "us," or "our"), located in Toronto, Ontario, Canada. Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By creating an account, accessing, or using Tutorelli, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

You must be at least 13 years of age to use Tutorelli as a student. You must be at least 18 years of age to use Tutorelli as a professor or institutional user. By creating an account, you represent and warrant that you meet the applicable age requirement.

2. Account Responsibilities

When you create an account with Tutorelli, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security and confidentiality of your password and account credentials
  • Not share your account with any other person or allow others to access your account
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

Student and professor accounts are separate. You may hold one of each, but each account type is subject to its own terms and usage restrictions.

3. Description of Service

Tutorelli is an AI-powered educational platform that provides:

For Students:

  • AI-powered tutoring and chat assistance based on uploaded course materials
  • PDF upload and text extraction for lecture notes, textbooks, and study materials
  • AI-generated flashcards, quizzes, and practice exams
  • Voice tutoring with multiple conversation modes
  • Course organization and study progress tracking

For Professors:

  • AI-assisted exam grading (multiple choice, short answer, and calculations)
  • Lecture slide creation from course materials
  • Assignment marking with rubric-based grading
  • Quiz and assessment generation
  • Course and student management tools

4. Acceptable Use Policy

Tutorelli is intended for lawful educational purposes only. You agree not to:

  • Use the Service for academic dishonesty, including but not limited to using AI-generated content to misrepresent your own work in academic submissions
  • Scrape, crawl, or use automated means to access the Service beyond its intended interfaces
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Upload or transmit malware, viruses, or any harmful code
  • Upload illegal, defamatory, obscene, or infringing content
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Circumvent, disable, or interfere with usage limits, security features, or access controls
  • Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks
  • Share, resell, or redistribute access to the Service

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this policy, including suspension or termination of the offending account.

5. Professor-Specific Terms

If you use Tutorelli as a professor or institutional user, the following additional terms apply:

5.1 Student Data and Authorization

By uploading student exams, assignments, or other student data to Tutorelli, you represent and warrant that:

  • You have proper institutional authorization to upload and process student data using third-party services
  • Your institution's privacy policies and data handling agreements cover the use of AI-assisted grading and assessment tools
  • You have the legal authority to act on behalf of your institution with respect to student data uploaded to the Service
  • You will not upload student data without the proper authority to do so

5.2 Data Controller and Processor Roles

With respect to student data uploaded by professors, Tutorelli acts as a data processor. The professor and/or their institution is the data controller. Tutorelli will process student data only as necessary to provide the Service and in accordance with these Terms and our Privacy Policy.

5.3 Review of AI-Generated Grades

All grades, scores, and feedback generated by Tutorelli are AI-generated suggestions. Professors are solely responsible for reviewing, verifying, and approving all AI-generated grades and feedback before recording them in any official academic system. Tutorelli does not assign grades; it provides grading assistance.

5.4 Indemnification

You agree to indemnify, defend, and hold harmless Tutorelli and its operator from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your unauthorized upload or processing of student data, your failure to obtain proper institutional authorization, or your violation of applicable privacy or data protection laws.

6. Intellectual Property

6.1 Your Content

You retain full ownership of all content you upload to Tutorelli, including lecture notes, exam papers, assignments, and other materials. By uploading content, you grant Tutorelli a limited, non-exclusive license to process, analyze, and use your content solely for the purpose of providing the Service to you. This license terminates when you delete your content or account.

6.2 AI-Generated Content

You own all AI-generated output produced by the Service based on your inputs, including but not limited to generated slides, quizzes, assignments, flashcards, grading results, and feedback. Tutorelli retains no rights to AI-generated content produced for you.

6.3 Tutorelli Platform

Tutorelli and its operator retain all rights, title, and interest in the platform, its technology, branding, trademarks, and all underlying software. Nothing in these Terms grants you any right to use Tutorelli's name, logo, or branding except as necessary to use the Service.

7. AI-Generated Content Disclaimer

Tutorelli uses artificial intelligence to generate educational content, grading suggestions, and other outputs. You acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, or omissions
  • All AI-generated grades and scores are suggestions only and must be reviewed by a qualified educator before being recorded as official grades
  • AI-generated slides, quizzes, assignments, and other materials should be reviewed and edited before use in an educational setting
  • Tutorelli makes no warranty regarding the accuracy, completeness, or reliability of any AI-generated content
  • Tutorelli is not liable for any academic decisions, consequences, or outcomes based on AI-generated content, including but not limited to grades assigned, student evaluations, or course materials used

8. Payment Terms

Tutorelli offers free and paid subscription plans for professors. Payment processing is handled by Stripe. By subscribing to a paid plan, you agree to the following:

  • Subscriptions automatically renew at the end of each billing period (monthly or annual) unless cancelled before the renewal date
  • You may cancel your subscription at any time from your membership page; cancellation takes effect at the end of the current billing period
  • The Faculty plan includes a 7-day free trial; you will not be charged during the trial period if you cancel before it ends
  • No refunds are provided for partial billing periods after cancellation
  • Tutorelli may change pricing for any plan with at least 30 days' prior notice sent to the email address associated with your account; continued use after the price change constitutes acceptance
  • Usage limits (such as the number of exams graded, assignments marked, or slides created) are enforced based on your plan tier; exceeding limits requires upgrading to a higher plan

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your information.

Data Processing Agreement: Where professors upload student data, Tutorelli processes that data on behalf of the professor and/or their institution. We process student data only as necessary to provide the Service and do not use it for any other purpose.

AI Training: Your data, including uploaded content and student data, is not used to train AI models. Content is processed in real-time to deliver the Service and is not retained for model training purposes.

Cross-Border Data Processing: Your data may be processed on servers located in the United States. By using the Service, you consent to the transfer and processing of your data in the United States.

10. FERPA Compliance (US Institutions)

For professors and institutions subject to the Family Educational Rights and Privacy Act (FERPA), Tutorelli commits to the following:

  • Tutorelli acts as a "school official" with a "legitimate educational interest" under FERPA, as it performs a service that would otherwise be performed by the institution
  • Education records are used only for the purposes stated in these Terms, specifically to provide AI-assisted grading, assessment, and educational content services
  • Tutorelli maintains reasonable administrative, technical, and physical security measures to protect education records
  • Tutorelli does not disclose personally identifiable information from education records to third parties except as necessary to provide the Service (e.g., cloud infrastructure providers, AI model providers) and as permitted under FERPA
  • Tutorelli does not use education records for any purpose other than providing the Service to the contracting institution or professor

11. PIPEDA Compliance (Canadian Institutions)

Tutorelli is committed to compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and its ten fair information principles:

  • Personal information is collected, used, and disclosed only for purposes that a reasonable person would consider appropriate in the circumstances
  • Cross-border transfer of data to US-based servers is disclosed in these Terms and our Privacy Policy
  • Students and other individuals whose personal information is held by Tutorelli may request access to their data by contacting us at support@tutorelli.ai
  • Individuals may challenge the accuracy and completeness of their personal information and request amendments

12. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Tutorelli does not warrant that the Service will be uninterrupted, error-free, secure, or that AI-generated content will be accurate, complete, or reliable.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TUTORELLI'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO TUTORELLI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL TUTORELLI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Grades assigned or academic decisions made based on AI-generated output
  • Academic consequences for students or professors resulting from use of the Service
  • Data loss beyond what could have been prevented by reasonable security measures
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or downtime

Force Majeure: Tutorelli shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet disruptions, or third-party service outages.

13. Termination

You may delete your account at any time through your account settings. We may suspend or terminate your account if we reasonably believe you have violated these Terms, with or without notice depending on the severity of the violation.

Upon termination of your account:

  • Your personal data will be deleted within thirty (30) days, except where retention is required by law
  • Professors may export their data (answer keys, grading results, course materials) before account deletion; once deleted, data cannot be recovered
  • Any active paid subscription will not be refunded for the remaining billing period

The following sections survive termination of these Terms: Intellectual Property (Section 6), AI-Generated Content Disclaimer (Section 7), Limitation of Liability (Section 12), Indemnification (Section 5.4), and Governing Law (Section 14).

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada.

15. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least thirty (30) days' notice by sending an email to the address associated with your account. Non-material changes (such as formatting or clarification) may be made without notice.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and delete your account before the changes take effect.
